    Ricardo Bernard, R. Bernard Law Group

    Ricardo Bernard is the managing partner and head of the Africa Practice of the Bernard Law Group. He

    specializes in cross-border private equity, M&A, financing and natural resources transactions in Africa. He

    often advises major international and local financial institutions in connection with their investments in

    Africa. He has advised clients in North America, Europe and Asia on projects in Africa ranging from

    executing mezzanine financings, private equity fund formations and acquisitions, mining and public

    infrastructure projects. He also has substantial experience in private M&A deals, where he represents

    sellers and buyers in corporate reorganizations, including leveraged buyouts and spin-offs.

    Before starting the Bernard Law Group, Mr. Bernard was an attorney in the New York office of Cleary

    Gottlieb Steen & Hamilton LLP. He received his law degree from the University of Chicago Law School

    and his BA degree, with distinction, from Northwestern University where he double majored in Political

    Science and History. He has lectured on doing business in Africa and other emerging markets at the Massachusetts Institute of

    Charles Bond, Gowlings 高林律师事务所

    Charles Bond is a partner in Gowlings’ London office, co-head of the Firm’s Global Mining Group and a member of the Firm’s Energy, Infrastructure and Mining Group. He practises in equity capital markets and public and private mergers and acquisitions.

    Charles spent over 10 years, including one in Asia, as a corporate lawyer with a major international law firm in London working for a diverse range of public and private corporates. He then headed up a leading equity capital markets and M&A team in the natural resources sector for eight years at his last firm, where he chaired the firm’s international committee and was responsible for helping it internationalise its business.

    Charles has advised on numerous IPOs, particularly of AIM and dual listed companies, public takeovers, private acquisitions and international joint ventures in various sectors, in particular in natural resources - mining, oil & gas and renewables. He acts for a large number of mining companies and much of his recent work has involved advising on cross-border corporate transactions and fundraisings, often in emerging markets, particularly in Africa, Australia, India, Russia and the CIS.

    Clients active in African resources include Hummingbird Resources (Liberia, Gold), Stellar Diamonds (Guinea, Sierra Leone), Sheba Exploration (Gold, Ethiopia), PICO Petroleum (Oil & Gas, Egypt), Afferro Mining (Iron Ore, Cameroon), Trafigura and Cluff Natural Resources.     Yongmei Cai 蔡咏梅, Simmons & Simmons

    Yongmei specialises in banking, cross-border finance, derivatives, debt capital markets and real estate finance work. She has more than 15 years experience of advising major international and local financial institutions, commercial corporations and equity investors on corporate finance, commodity and trade finance, project finance, acquisition and leverage finance, mergers and acquisitions, syndicated lending, debt and corporate restructurings, compliance, structured finance, derivatives and structured products. Yongmei is proficient in both English and Chinese.

    Yongmei is a partner in the financial markets group in Beijing. She joined from an international China law firm where she was a partner in their banking and finance team and has practiced as a finance lawyer at other leading law firms in Shanghai and London. Yongmei is both qualified in the PRC (1995) and England and Wales (2001).

    Hong Cao 曹宏, Shenzhen Energy 深圳能源集团

    Henry Cao was nominated as current position by China Huaneng Groug to join InterGen (Australia) in July 2008 and also service as the Chief Representative of China Huaneng Group Australia Representative Office from May 2011. Prior to his current roles, Mr Cao was appointed from April 2003 to June 2008 as the Deputy President of Shenzhen Energy Group Ltd Co, China. During this period, Henry Cao was in charge of the project development and the financial & budget control of the Corporation, successfully developed a number of power projects including a coal-fired generation plant, a gas combined cycle project and a wind farm power station. He also had a key role in formulating and monitoring the annual budgets and targets of the group and its subsidiaries, analysing and summarising major business activities of the Corporation. As one of the members of the Corporation’s top Management and Board, Henry Cao was involved in all fundamental decision making process and played an important role in respect of operational performance improvement, corporate governance, project development, financing & captail restructure, asset merger and acquisition as well as the stock exchange listing of the consolidated Corporation. Mr. Cao also was one of the directors of Shenzhen Energy Investment Ltd for three years, which is the earliest listed company in the power generaion sector in China. After a more than six years work as boiler technican in a coal-fired plant, Mr Cao joined China Huaneng Group in 1988 and became a gas combined cycle plant manager in 1989. From end of 2000 to April 2003, he was one of two executive general managers of Huaneng International Development Corporation, Chongqing Branch, which operates and manages a gas-fired and coal-fired power plants with a total capacity of approx 1,540MW. Henry Cao has a Master degree in Power Engineering from Chongqing University, China and has rich experience over 30 years in power industry spanning China, west African and Australia with extensive background including senior excuetive roles and chairman roles in a number of Chinese power generating companies. Note: (By the end of May 2012, Hnery Cao finished his mission as General Manager-Technical in InterGen(Australia) and as the Chief Representative of China Huaneng Group Australia Representative Office and then retured to China.     Saadjid Dauhoo, Deloitte (Mauritius) 德勤

    Saajid holds an LLB (Hons) from London South Bank University and MA in Tax Law from King's College London. He also followed the Legal Practice Course at the College of Law. He is now completing his professional credentials with the Chartered Institute of Taxation (UK) with a focus on International Tax and Transfer Pricing.

    Saajid has gained a global experience of the financial services industry whilst working for a top 10 FTSE listed financial institution in its in-house Group Tax and Legal Department in London. He assisted mainly within its structured capital markets, its investment banking and wealth management division and various M&A/regulatory projects in Africa and the UK. He has assisting mainly on international tax planning, due diligence matters and tax compliance projects. Saajid has also worked for a Top Tier 1 Law firm in Mauritius prior to joining the Deloitte Tax team.

    Titus Edjua, Clifford Chance 高伟绅律师事务所

    Titus Edjua is the director of the Clifford Chance Africa Group and a member of the Energy and

    Infrastructure Group, based in London. His practice focuses on infrastructure projects, especially in Africa,

    Stephen Harder is Managing Partner, China for the international law firm of Clifford Chance LLP. Mr. Harder has over 25 years experience as an international lawyer based in New York, Brussels, Warsaw, Moscow, Hong Kong, Shanghai and Beijing. In recent years his practice has focused on advising Chinese financial institutions on significant outbound financings and investments in the energy and resources sectors relating to Russia, Australia, South America and Central Asia.

    He has recently written on "China's Sovereign Wealth Fund: The Need for Caution" in the International Financial Law Review, and spoken at Harvard Law School on "China Ventures Forth - Advising China on Foreign Investments". When based in Europe in the 1990's, Mr. Harder was a legal advisor for the Russian and Polish mass privatization programs and for the Polish sovereign debt restructuring negotiations. He has also written on "Political Finance in the Liberal Republic" in the Annals of the American Academy of Political and Social Sciences.

    He is an invited participant in the Tenth Annual Symposium on Building the Financial System of the 21st Century: an Agenda for China and the United States, sponsored by Harvard Law School and the China Development Research Foundation in September 2013. He holds an undergraduate degree in Chinese Studies from Princeton University, and graduate degrees in business and law from Columbia University. He is fluent in written and spoken Mandarin Chinese. He is a native of Boston, a resident of Rockport, Maine, and is currently based in Shanghai.

    Leila Hubeaut, Gide Loyrette Nouel 基德律师事务所

    Based in Paris, Leila is a senior associate in the infrastructure and mining team. She has been working as an associate for over ten years in the Firm’s Paris and New York offices. She acquired general M7A and corporate experience working for a reputable Parisian firm for two years before joining Gide Loyrette Nourel. She also has extensive experience in M&A in context of acquisitions and disposals of mining, oil and gas assets, and infrastructure projects in Africa.

    She regularly advises major international companies for their operations and investment in Africa. She is involved in structuring a major platform in North Africa and represents major international companies in arbitration proceedings. Leila has also advised major financial institutions and banks in the course of financing of oil, gas, mining and infrastructure projects in Africa.

    Robin holds a “Licence en Droit” (First Class) and a “Maitrise en Droit” (First Class) from the University of

    Aix-Marseille III Faculty of Law, Aix-en-Provence, France. He also holds a Master of Laws, Magna Cum

    Laude, (LL.M) from the University of Texas at Austin School of Law. He was admitted to practice as an

    attorney in Mauritius in 1997. He was a member of the Board of Directors of the Stock Exchange of

    Mauritius in 1999.

    Robin is the Managing Partner and head of the Banking & Corporate Finance Practice at Mardemootoo

    John Mollard, Baker & McKenzie 贝克•麦坚时国际律师事务所

    John is the Head of the China Practice Group in Australia for Baker & McKenzie. He practices principally in mergers & acquisitions and foreign investment structures, with a strong focus in resources, agriculture and renewable energy. John has been working on trade between China and Australia for 20 years, including living in China and South East Asia for over 10 years, based out of Beijing, Hong Kong, Jakarta and Singapore. He studied Mandarin at Nanjing Normal University.

    John represents many Chinese corporates on their outbound activities, including in Australia, SE Asia, Sth America and Africa. Recently he has assisted Chinese entities investing into coal, gold, iron ore and copper projects, as well as in related infrastructure. John travels often to Africa, especially in DRC, ROC, Mozambique, Zambia and Tanzania dealing in copper, cobalt, mineral sands, graphite, coal and oil & gas projects.     Mafalda Oliveira Monteiro (born 1969), Partner. Graduate of the Lisbon Law School of the Portuguese Catholic University (1992). Admitted in 1994. Joined the Firm in 2004. Mafalda started her practice as a trainee at Henrique Abecasis, Andresen Guimarães & Associados, where she continued as an associate until 1995. Between 1996 and 2000 Mafalda worked as a solo practitioner, and had the opportunity to be involved in a variety of issues in the areas of corporate law, banking and finance, private international law, intellectual property and civil and commercial litigation.     Milton Osborn, Norton Rose Fullbright

    Milton Osborn is an English law and South African law qualified corporate, banking and finance Partner currently based in Beijing. He specialises in banking and finance, acquisition finance, cross-border finance, M&A and private equity. Milton has a wealth of experience advising international and domestic banks and corporates in relation to M&A, general commercial transactions, banking, acquisition finance, project finance, structured finance, and asset finance with a particular focus on cross-border African and China Africa related transactions.

    Jeremy South, Deloitte 德勤

    Jeremy is the Global Leader, M&A for the Mining Sector at Deloitte. He also acts as the Mining Leader for Deloitte China and Deloitte Mongolia.

    Based in Beijing, Jeremy specializes in the delivery of lead advisory services to clients in the mining industry, with a specialization in public and private company M&A, capital markets advice and project finance.

    A native of Australia, he has advised leading Asian trading houses, State Owned Enterprises and Financial Investors on outbound mining investment and both mid-market and large cap miners on M&A, capital raising and strategic investor negotiations.

    Jeremy joined Deloitte in 2005 as a partner in the Canadian practice and transferred to the Beijing office in late 2010.

    He has over 25 years of experience in the capital markets in Europe, North America and Australia, including senior positions in investment banking at Deutsche Bank and NatWest Markets. He was seconded to the London Stock Exchange where he helped shape listing policy including the establishment of the AIM market. He was joint Managing Partner at a leading Canadian private equity fund immediately prior to joining Deloitte.

    Lillian Xiao is a Partner in the International and M&A Tax Service group of Deloitte’s Beijing office. She has over 15 years of experience in the China tax and business advisory services.
