5. The Receiving Party shall be entitled to disclose the Confidential Information without theDisclosing I'arty's prior written consent to such of the following persons who have a clear

need to know in order to evaluate the Area:

employees. officers and directors of an Affiliated Company;

any professional consultant or agent retained by the Receiving Party for thepurpose of evaluating the Confidential Infonnation;

Prior to making any such disclosures to persons under subparagraph (e) above the

Receiving party shall obtain II written undertaking of confidentiality, no lessstringent than that contained In this Agreement (but excluding any right of furtherdisclosure pursuant to subparagraph (c, from each such person and stating thatthe Disclosing party and Its AffUiated Companies are beneficiaries of suchundertaking.

7 The Receiving Party shall be responsible for ensuring that all persons to whom the

liability whatsoever with respect to the use of or reliance upon the Confidential Informationby the Receiving Party or its Affiliated Companies.

In addition to the other provisions of this Agreement and subject to any applicable law, Jb.e$ecelvjQg Party agrees that it will not (without the prior written consent of the DisclosingParty) disclose to any third party, other than a third party identified in paragraph 4 or 5above, the existence of possible negotiations between the Parties or that ConfidentialInformation has either been requested or received.

This Agreement shall be governed by and Interpreted in accordance with the Lawsof the Netherlands Antilles, exclUding any choice of law rules which would refer thematter to the law of another Jurisdiction.

(b) Any dispute artslng out of or relating to this Agreement, Including any questionregarding Its existence, Validity or tennination, which cannot be amicably resolvedbetween the Parties, shall be settled by arbltratioo under the Rules of Conclllationand ArbItration of the IntemaUonal Chamber of Commerce, by three arbitrators (oneto be appointed by each Party and the two $0 appointed shall appoint the third

arbitrator) appointed In accordance with the said Rules. The arbitration shall beconducted, In the English language, at the Permanent Court of Arbitration In theHague, the Netherlands, In accordance with the Arbitration Rules of the UnitedNations Convnlsslon of International Trade Law. The Receiving Party may only assign this Agreement to an Affiliated Company; provided.however. the Receiving Party shall remain liable for all obligations. whether expressed orimplied. under this Agreement. Without limiting the foregoing, this Agreement shall bindand inure to the benefit of the Parties and their respective successors and assigns.

16. All notices authorlsed or required between the Parties by any of the provisions of thisAgreement. shall be in writing, in English and delivered In person or by courier service orby any electronic means of transmitting written communications which provides writtenconfInnation of complete transmission, and addressed to such Parties as designat~ below.A notice given under any provision of this Agreement shall be deemed delivered only whenreceived by the Party to whom such notice is directed, and the time for such Party to deliverany notice In response to such originating notice shall run from the date the originatingnotice Is received.' .
