1. Geltungsbereich

1.1. Die nachstehenden Verkaufsbedingungen gelten für alle unsere

Lieferungen und Leistungen. Sie sind Bestandteil unserer Liefe-

rungs- und Leistungsverträge. Abweichungen haben nur dann Gül-

tigkeit, wenn dieselben schriftlich von uns bestätigt werden. Diese

Bedingungen gelten auch für zukünftige Lieferungen aufgrund

schriftlicher, E-Mail- oder fernmündlicher Bestellungen, sofern

davon ausgegangen werden kann, dass der Käufer die AGB aus

vorhergegangenen Kaufabschlüssen kennen musste und er bei Ver-

tragsabschluß nochmals ausdrücklich darauf hingewiesen wurde.

1.2. Abweichende Bedingungen des Käufers, die wir nicht ausdrücklich

anerkennen, werden durch unsere AGB ausdrücklich widerspro-

chen. Die nachstehenden Verkaufsbedingungen gelten auch dann,

wenn wir in Kenntnis entgegen stehender oder abweichender Be-

dingungen des Käufers die Bestellung des Käufers vorbehaltlos aus-

führen.

1.3. Mit der Erteilung des Auftrages, spätestens mit und durch die Ent-

gegennahme der Waren erkennt der Käufer unsere Allgemeinen

Geschäftsbedingungen an. Mündliche und telefonische Zusagen,

Vereinbarungen, Nebenabreden usw. sowie durch unsere Vertreter

getätigte Verkäufe oder Sondervereinbarungen sind für uns erst

verbindlich bzw. gültig, sofern sie von uns nachträglich schriftlich

bestätigt sind.

1.4. Wir sind berechtigt, die bezüglich der Geschäftsbeziehung oder

im Zusammenhang mit dieser erhaltenen Daten über den Käufer,

gleich, ob diese vom Käufer selbst oder von Dritten stammen, im

Sinne des Bundesdatenschutzgesetzes zu verarbeiten.

2. Lieferbedingungen

2.1. Unsere Angebote sind freibleibend und unverbindlich, es sei denn,

dass wir diese ausdrücklich als verbindlich bezeichnet haben.

2.2. Erst mit Zugang unserer schriftlichen Auftragsbestätigung werden

Bestellungen, Aufträge, Abreden, Zusicherungen sowie alle rechts-

geschäftlichen Erklärungen unsererseits verbindlich. Die Auftrags-

bestätigung ist allein für Umfang und Ausführung der Bestellung

maßgebend und gilt auch für Abweichungen der Bestellung, sofern

nicht innerhalb einer Woche widersprochen wird und dieser Wider-

spruch von uns anerkannt wurde.

2.3. Unsere Lieferungspflicht setzt die Kreditwürdigkeit des Käufers

voraus. Sollten begründete Zweifel in dieser Beziehung auftreten,

so sind wir berechtigt, die Lieferung von einer Sicherheitsleistung

abhängig zu machen. Sollten diese Sicherheiten in einer angemes-

senen Frist nicht beigebracht werden, sind wir berechtigt, vom Ver-

trag zurückzutreten.

2.4. Die in Listen und Katalogen angegebenen Zeichnungen, Abbil-

dungen, Maße und Gewichte sowie zugesicherte Eigenschaften

verstehen sich unter Berücksichtigung der handelsüblichen Tole-

ranzen, der DIN oder der geltenden Übung. Abweichungen von

diesen Eigenschaften sind kein Mangel, sofern sie nicht schriftlich

ausdrücklich bestätigt werden.

2.5. An allen Abbildungen, Kalkulationen, Zeichnungen sowie anderen

Unterlagen behalten wir uns unsere Eigentums-, Urheber- sowie

sonstige Schutzrechte vor. Der Käufer darf diese nur mit unserer

schriftlichen Einwilligung an Dritte weitergeben, unabhängig da-

von, ob wir diese als vertraulich gekennzeichnet haben.

2.6. Die Abtretung von Ansprüchen, welche aus einem Geschäftsab-

schluss gegen uns erworben werden, ist ausdrücklich ausgeschlossen.

3. Zahlungsbedingungen

3.1. Unsere Listenpreise sind freibleibend und unverbindlich. Unsere

Preise gelten ab Werk ohne Verpackung, Fracht, Montage zuzüg-

lich Mehrwertsteuer, wenn in der Auftragsbestätigung nichts an-

deres festgelegt wurde. Unsere detaillierten Lieferungs- und Zah-

lungsbedingungen erhalten Sie auf Anfrage.

3.2. Alle Rechnungen sind zahlbar frei Zahlstelle Pipelife Deutschland

GmbH & Co. KG, Bad Zwischenahn, innerhalb 10 Tagen nach Rech-

nungsdatum mit 3 % Skonto; innerhalb 30 Tagen nach Rechnungs-

datum rein netto Kasse.

3.3. Gerät der Käufer mit einer Zahlung in Verzug, gelten die gesetz-

lichen Regelungen.

3.4. Die Annahme von Schecks erfolgt stets zahlungshalber und nicht

an Zahlung statt und gilt erst mit unwiderruflicher Einlösung als

Zahlung. Die Annahme von Wechseln ist ausgeschlossen.

3.5. Nichteinhaltung der Zahlungsbedingungen oder sonstige Umstän-

de, welche Zweifel an der Kreditwürdigkeit des Käufers zulassen,

haben die sofortige Fälligkeit aller unserer Forderungen zur Folge.

3.6. Lieferungen an Käufer, mit denen wir nicht in ständiger Geschäfts-

beziehung stehen, führen wir auch ohne ausdrückliche Vereinba-

rung nur per Nachnahme, Vorauskasse oder gegen Bankbürgschaft

aus. Das gleiche gilt unabhängig von vereinbarten Zahlungsfristen,

wenn wir nach Vertragsschluß von Umständen erfahren, die Zwei-

fel an der Zahlungsfähigkeit oder Zahlungswilligkeit des Käufers

zulassen.

3.7. Zahlungen haben ausschließlich auf eines unserer Geschäftskonten

zu erfolgen. Ausnahmen bedürfen unserer ausdrücklichen schrift-

lichen Einwilligung.

3.8. Der Käufer ist zur Aufrechnung, auch wenn Mängelrügen oder

Gegenansprüche geltend gemacht werden, nur berechtigt, wenn

die Gegenansprüche rechtskräftig festgestellt, von uns anerkannt

wurden oder unstreitig sind. Zur Ausübung eines Zurückbehal-

tungsrechts ist der Käufer nur befugt, wenn sein Gegenanspruch

auf dem gleichen Vertragsverhältnis beruht.

4. Liefer- und Leistungszeit

4.1. Liefertermine oder Fristen, die nicht ausdrücklich als verbindlich

vereinbart worden sind, sind ausschließlich unverbindliche Anga-

ben. Die von uns angegebene Lieferzeit beginnt erst, wenn die

technischen Fragen abgeklärt sind. Ebenso hat der Käufer alle ihm

obliegenden Verpflichtungen ordnungsgemäß und rechtzeitig zu

erfüllen.

4.2. Handelt es sich bei dem zugrunde liegenden Kaufvertrag um ein

Fixgeschäft im Sinne von § 286 Abs. 2 Nr. 4 BGB oder von § 376

HGB, haften wir nach den gesetzlichen Bestimmungen. Gleiches

gilt, wenn der Käufer infolge eines von uns zu vertretenden Liefer-

verzugs berechtigt ist, den Fortfall seines Interesses an der weiteren

Vertragserfüllung geltend zu machen. In diesem Fall ist unsere Haf-

tung auf den vorhersehbaren, typischerweise eintretenden Scha-

den begrenzt, wenn der Lieferverzug nicht auf einer von uns zu

vertretenden vorsätzlichen Verletzung des Vertrages beruht, wobei

uns ein Verschulden unserer Vertreter oder Erfüllungsgehilfen zu-

zurechnen ist.

4.3. Ebenso haften wir dem Käufer bei Lieferverzug nach den gesetz-

lichen Bestimmungen, wenn dieser auf einer von uns, unserer Ver-

treter oder Erfüllungsgehilfen zu vertretenden vorsätzlichen oder

grob fahrlässigen Verletzung des Vertrages beruht. Unsere Haftung

ist auf den vorhersehbaren, typischerweise eintretenden Schaden

begrenzt, wenn der Lieferverzug nicht auf einer von uns, unseren

Vertretern oder Erfüllungsgehilfen zu vertretenden vorsätzlichen

Verletzung des Vertrages beruht.

4.4. Für den Fall, dass ein von uns zu vertretender Lieferverzug auf der

schuldhaften Verletzung einer wesentlichen Vertragspflicht beruht,

wobei uns ein Verschulden unserer Vertreter oder Erfüllungsge-

hilfen zuzurechnen ist, haften wir nach den gesetzlichen Bestim-

mungen mit der Maßgabe, dass in diesem Fall die Schadensersatz-

haftung auf den vorhersehbaren, typischerweise eintretenden

Schaden begrenzt ist.

4.5. Ansonsten kann der Käufer im Falle eines von uns zu vertretenden

Lieferverzugs für jede vollendete Woche des Verzugs eine pauscha-

lierte Entschädigung in Höhe von 3% des Lieferwertes, maximal je-

doch nicht mehr als 15% des Lieferwertes, geltend machen.

4.6. Eine weitergehende Haftung für einen von uns zu vertretenden

Lieferverzug ist ausgeschlossen. Die weiteren gesetzlichen Ansprü-

che und Rechte des Käufers, die ihm neben dem Schadensersatzan-

spruch wegen eines von uns zu vertretenden Lieferverzugs zuste-

hen, bleiben unberührt.

4.7. Wir sind zu Teillieferungen und Teilleistungen jederzeit berechtigt,

soweit dies für den Kunden zumutbar ist.

4.8. Kommt der Käufer in Annahmeverzug, so sind wir berechtigt, Er-

satz des entstehenden Schadens und etwaiger Mehraufwendungen

zu verlangen. Sollte der Annahmeverzug nicht innerhalb einer von

uns zu setzenden angemessenen Nachfrist entfallen, sind wir be-

rechtigt vom Vertrag zurückzutreten und Schadensersatz zu for-

dern. Gleiches gilt, wenn der Käufer Mitwirkungspflichten schuld-

haft verletzt. Mit Eintritt des Annahme- bzw. Schuldnerverzuges

geht die Gefahr der zufälligen Verschlechterung und des zufälligen

Untergangs auf den Käufer über.

4.9. Auf Abruf bestellte Ware ist innerhalb von 6 Monaten abzurufen,

sofern keine andere Frist schriftlich vereinbart oder durch uns be-

stätigt wurde. Erfolgt innerhalb dieser Frist kein Abruf, kommt der

Käufer in Annahmeverzug.

5. Gefahrübergang –Versand/Verpackung

5.1. Verladung und Versand erfolgen unversichert auf Gefahr des Käu-

fers. Wir werden uns bemühen, hinsichtlich Versandart und Ver-

sandweg Wünsche und Interessen des Käufers zu berücksichtigen;

dadurch bedingte Mehrkosten – auch bei vereinbarter Frachtfreilie-

ferung - gehen zu Lasten des Käufers.

5.2. Evtl. notwendige Verpackung wird zum Selbstkostenpreis berech-

net und nicht zurückgenommen (Interseroh-Vertrag Nr.111467,

PKR-Pool-Vertrag vom 18. 2. 2003).

5.3. Mit der Übergabe der Ware an den Spediteur oder Frachtführer,

spätestens jedoch mit dem Verlassen ab Werk oder Lager geht die

Gefahr auf den Käufer über.

5.4. Wird der Versand auf Wunsch oder aus Verschulden des Käufers

verzögert, so lagern wir die Waren auf Kosten und Gefahr des Käu-

fers. In diesem Fall steht die Anzeige der Versandbereitschaft dem

Versand gleich.

5.5. Auf Wunsch und Kosten des Käufers werden wir die Lieferung

durch eine Transportversicherung absichern.

6. Eigentumsvorbehalt

6.1. Bis zur Erfüllung aller Forderungen, einschließlich sämtlicher Sal-

doforderungen aus Kontokorrent, die uns gegen den Käufer jetzt

oder zukünftig zustehen, bleibt die gelieferte Ware (Vorbehaltswa-

re) unser Eigentum. Im Falle des vertragswidrigen Verhaltens des

Käufers, z. B. Zahlungsverzug, haben wir nach vorheriger Setzung

einer angemessenen Frist das Recht, die Vorbehaltsware zurück-

zunehmen. Nehmen wir die Vorbehaltsware zurück, stellt dieses

einen Rücktritt vom Vertrag dar. Pfänden wir die Vorbehaltsware,

ist dieses ein Rücktritt vom Vertrag. Wir sind berechtigt, die Vorbe-

haltsware nach der Rücknahme zu verwerten. Nach Abzug eines

angemessenen Betrages für die Verwertungskosten, ist der Verwer-

tungserlös mit den uns vom Käufer geschuldeten Beträgen zu ver-

rechnen.

6.2. Der Käufer hat die Vorbehaltsware pfleglich zu behandeln und die-

se auf seine Kosten gegen Feuer-, Wasser- und Diebstahlschäden

ausreichend zum Neuwert zu versichern. Wartungs- und Inspekti-

onsarbeiten, die erforderlich werden, sind vom Käufer auf eigene

Kosten rechtzeitig durchzuführen.

6.3. Der Käufer ist berechtigt, die Vorbehaltsware ordnungsgemäß im

Geschäftsverkehr zu veräußern und/oder zu verwenden, solange

er nicht in Zahlungsverzug ist. Verpfändungen oder Sicherungs-

übereignungen sind unzulässig. Die aus dem Weiterverkauf oder

einem sonstigen Rechtsgrund (Versicherung, unerlaubte Handlung)

bezüglich der Vorbehaltsware entstehenden Forderungen (ein-

schließlich sämtlicher Saldoforderungen aus Kontokorrent) tritt der

Käufer bereits jetzt sicherungshalber in vollem Umfang an uns ab;

wir nehmen die Abtretung hiermit an. Wir ermächtigen den Käu-

fer widerruflich, die an uns abgetretenen Forderungen für dessen

Rechnung im eigenen Namen einzuziehen. Die Einzugsermächti-

gung kann jederzeit widerrufen werden, wenn der Käufer seinen

Zahlungsverpflichtungen nicht ordnungsgemäß nachkommt. Zur

Abtretung dieser Forderung ist der Käufer auch nicht zum Zwecke

des Forderungseinzugs im Wege des Factoring befugt, es sei denn,

es wird gleichzeitig die Verpflichtung des Factors begründet, die

Gegenleistung in Höhe der Forderungen – solange unmittelbar an

uns zu bewirken – als noch Forderungen von uns gegen den Käufer

bestehen.

6.4. Eine Verarbeitung oder Umbildung der Vorbehaltsware durch den

Käufer wird in jedem Fall für uns vorgenommen. Sofern die Vorbe-

haltsware mit anderen, uns nicht gehörenden Sachen verarbeitet

wird, erwerben wir das Miteigentum an der neuen Sache im Ver-

hältnis des Wertes der Vorbehaltsware (Rechnungsendbetrag inklu-

sive der Mehrwertsteuer) zu den anderen verarbeiteten Sachen im

Zeitpunkt der Verarbeitung. Für die durch Verarbeitung entstehen-

de neue Sache gilt das Gleiche wie für die Vorbehaltsware. Im Falle

der untrennbaren Vermischung der Vorbehaltsware mit anderen,

uns nicht gehörenden Sachen erwerben wir Miteigentum an der

neuen Sache im Verhältnis des Wertes der Vorbehaltsware (Rech-

nungsendbetrag inklusive der Mehrwertsteuer), zu den anderen

vermischten Sachen im Zeitpunkt der Vermischung. Ist die Sache

des Käufers in Folge der Vermischung als Hauptsache anzusehen,

sind der Käufer und wir uns einig, dass der Käufer uns anteilmäßig

Miteigentum an dieser Sache überträgt; die Übertragung nehmen

wir hiermit an. Unser so entstandenes Allein- oder Miteigentum an

einer Sache verwahrt der Käufer für uns.

6.5. Bei Zugriffen Dritter auf die Vorbehaltsware, insbesondere Pfän-

dungen, wird der Käufer auf unser Eigentum hinweisen und uns

unverzüglich benachrichtigen, damit wir unsere Eigentumsrechte

durchsetzen können. Soweit der Dritte nicht in der Lage ist, uns die

in diesem Zusammenhang entstehenden gerichtlichen oder außer-

gerichtlichen Kosten zu erstatten, haftet hierfür der Käufer.

6.6. Wir sind verpflichtet, die uns zustehenden Sicherheiten insoweit

freizugeben, als der realisierbare Wert unserer Sicherheiten die zu

sichernden Forderungen um mehr als 10% übersteigt, dabei obliegt

uns die Auswahl der freizugebenden Sicherheiten.

7. Mängelrügen und Gewährleistung

7.1. Mängelansprüche des Käufers bestehen nur, wenn der Käufer sei-

nen nach § 377 HGB geschuldeten Untersuchungs- und Rügepflich-

ten ordnungsgemäß nachgekommen ist.

7.2. Soweit ein von uns zu vertretender Mangel der Ware vorliegt, sind

wir zur Nacherfüllung verpflichtet, es sei denn, dass wir aufgrund

der gesetzlichen Regelungen zur Verweigerung der Nacherfüllung

berechtigt sind. Das Recht des Käufers, vom Vertrag zurückzutreten

oder den Kaufpreis herabzusetzen (Minderung) ist ausgeschlossen.

Der Käufer hat uns eine angemessene Frist zur Nacherfüllung zu

gewähren. Die Nacherfüllung kann nach Wahl des Käufers durch

Beseitigung des Mangels (Nachbesserung) oder Lieferung einer

neuen Ware erfolgen. Wir tragen im Falle der Mangelbeseitigung

die erforderlichen Aufwendungen, soweit sich diese nicht erhöhen,

weil der Vertragsgegenstand sich an einem anderen Ort als dem

Erfüllungsort befindet. Ist die Nacherfüllung fehlgeschlagen, kann

der Käufer nach seiner Wahl Herabsetzung des Kaufpreises (Min-

derung) verlangen oder den Rücktritt vom Vertrag erklären. Die

Nachbesserung gilt mit dem zweiten vergeblichen Versuch als fehl-

geschlagen, soweit nicht aufgrund des Vertragsgegenstands wei-

tere Nachbesserungsversuche angemessen und dem Käufer zumu-

tbar sind. Schadensersatzansprüche wegen des Mangels kann der

Käufer zu den nachfolgenden Bedingungen erst geltend machen,

wenn die Nacherfüllung fehlgeschlagen ist. Das Recht des Käufers

zur Geltendmachung von weitergehenden Schadensersatzansprü-

chen zu den nachfolgenden Bedingungen bleibt hiervon unbe-

rührt.

7.3. Ansprüche des Käufers wegen eines Mangels verjähren ein Jahr

nach Ablieferung der Ware bei dem Käufer. Dies gilt jedoch nicht

in den Fällen des § 438 Abs. 1 Nr. 1 BGB (Rechtsmängel bei unbe-

weglichen Sachen), § 438 Abs.1 Nr. 2 BGB (Bauwerke und Sachen

für Bauwerke), § 634a Abs. 1 Nr. 2 BGB (Bauwerke oder Werk, des-

sen Erfolg in der Erbringung von Planungs- oder Überwachungs-

leistungen hierfür besteht) oder falls wir den Mangel arglistig ver-

schwiegen haben. Im Falle des § 438 Abs. 1 Nr. 1 BGB (Rechtsmängel

bei unbeweglichen Sachen), im Falle des § 438 Abs.1 Nr. 2 BGB (Bau-

werke und Sachen für Bauwerke) oder im Falle des § 634a Abs. 1 Nr.

2 BGB (Bauwerke oder Werk, dessen Erfolg in der Erbringung von

Planungs- oder Überwachungsleistungen hierfür besteht) verjähren

die Ansprüche wegen Mängeln innerhalb von drei Jahren. Die Ver-

jährung tritt im Falle des arglistigen Verschweigens von Mängeln in

der gesetzlichen Frist, die ohne Vorliegen von Arglist gelten würde,

unter Ausschluß der Fristverlängerung bei Arglist gemäß §§ 438

Abs. 3, 634a Abs. 3 BGB, ein. Unsere Pflichten aus Ziffer 7.4. und 7.5.

bleiben von der Abkürzung der Verjährungsfristen unberührt. Die

Verjährungsfristen gelten auch für Schadenersatzansprüche gegen

uns, die mit dem Mangel in Zusammenhang stehen.

7.4. Wir sind entsprechend den gesetzlichen Vorschriften zur Rücknah-

me der neuen Ware bzw. zur Herabsetzung (Minderung) des Kauf-

preises auch ohne die sonst erforderliche Fristsetzung verpflichtet,

wenn der Abnehmer des Käufers als Verbraucher der verkauften

neuen beweglichen Sache (Verbrauchsgüterkauf) wegen des Man-

gels dieser Ware gegenüber dem Käufer die Rücknahme der Ware

oder die Herabsetzung (Minderung) des Kaufpreises verlangen

konnte oder dem Käufer ein ebensolcher daraus resultierender

Rückgriffsanspruch entgegengehalten wird. Wir sind darüber hi-

naus verpflichtet, Aufwendungen des Käufers, insbesondere Trans-

port-, Wege-, Arbeits- und Materialkosten zu ersetzen, die dieser

im Verhältnis zum Endverbraucher im Rahmen der Nacherfüllung

aufgrund eines bei Gefahrübergang von uns auf den Käufer vorlie-

genden Mangels der Ware zu tragen hatte. Der Anspruch ist aus-

geschlossen, wenn der Käufer seinen nach § 377 HGB geschuldeten

Untersuchungs- und Rügepflichten nicht ordnungsgemäß nachge-

kommen ist.

7.5. Die Verpflichtung gemäß Ziffer 7.4. ist ausgeschlossen, soweit es

sich um einen Mangel aufgrund von Werbeaussagen oder sonstiger

vertraglicher Vereinbarungen handelt, die nicht von uns herrüh-

ren, oder wenn der Käufer gegenüber dem Endverbraucher eine

besondere Garantie abgegeben hat. Die Verpflichtung ist ebenfalls

ausgeschlossen, wenn der Käufer selbst nicht aufgrund der gesetz-

lichen Regelungen zur Ausübung der Gewährleistungsrechte ge-

genüber dem Endverbraucher verpflichtet war oder diese Rüge ge-

genüber einem ihm gestellten Anspruch nicht vorgenommen hat.

Dies gilt auch, wenn der Käufer gegenüber dem Endverbraucher

Gewährleistungen übernommen hat, die über das gesetzliche Maß

hinausgehen.

7.6. Wir haften nach den gesetzlichen Bestimmungen für Schäden an

Leben, Körper und Gesundheit, die auf einer fahrlässigen oder vor-

sätzlichen Pflichtverletzung von uns, unseren gesetzlichen Vertre-

tern oder unseren Erfüllungsgehilfen beruhen, sowie für Schäden,

die von der Haftung nach dem Produkthaftungsgesetz umfasst

werden. Für Schäden, die nicht von Satz1 erfasst werden und die

auf vorsätzlichen oder grob fahrlässigen Vertragsverletzungen so-

wie Arglist von uns, unseren gesetzlichen Vertretern oder unseren

Erfüllungsgehilfen beruhen, haften wir nach den gesetzlichen

Bestimmungen. In diesem Fall ist aber die Schadensersatzhaftung

auf den vorhersehbaren, typischerweise eintretenden Schaden be-

grenzt, soweit wir, unsere gesetzlichen Vertreter oder unsere Erfül-

lungsgehilfen nicht vorsätzlich gehandelt haben. In dem Umfang,

in dem wir bezüglich der Ware oder Teile derselben eine Beschaf-

fenheits- und/oder Haltbarkeitsgarantie abgegeben haben, haften

wir auch im Rahmen dieser Garantie. Für Schäden, die auf dem Feh-

len der garantierten Beschaffenheit oder Haltbarkeit beruhen, aber

nicht unmittelbar an der Ware eintreten, haftet wir allerdings nur

dann, wenn das Risiko eines solchen Schadens ersichtlich von der

Beschaffenheits- und Haltbarkeitsgarantie erfasst ist.

7.7. Wir haften auch für Schäden, die durch einfache Fahrlässigkeit ver-

ursacht werden, soweit die Fahrlässigkeit die Verletzung solcher

Vertragspflichten betrifft, deren Einhaltung für die Erreichung des

Vertragszwecks von besonderer Bedeutung ist (Kardinalpflichten).

Wir haften jedoch nur, soweit die Schäden typischerweise mit dem

Vertrag verbunden und vorhersehbar sind.

7.8. Eine weitergehende Haftung ist ohne Rücksicht auf die Rechtsnatur

des geltend gemachten Anspruchs ausgeschlossen, dies gilt insbe-

sondere auch für deliktische Ansprüche oder Ansprüche auf Ersatz

vergeblicher Aufwendungen statt der Leistung; hier von unberührt

bleibt unsere Haftung wegen Lieferverzuges gemäß Ziffer 4.2. bis

4.5. dieses Vertrages. Soweit unsere Haftung ausgeschlossen oder

beschränkt ist, gilt dies auch für die persönliche Haftung unserer

Angestellten, Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungs-

gehilfen.

7.9. Schadensersatzansprüche des Käufers, die nicht mit einem Mangel

in Zusammenhang stehen, verjähren ein Jahr ab Ablieferung der

Ware, es sei denn, daß wir den Schaden vorsätzlich herbeigeführt

haben.

8. Erfüllungsort und Gerichtsstand, anzuwendendes Recht

8.1. Erfüllungsort und Gerichtsstand für Lieferungen und Zahlungen

(einschließlich Scheckklagen) sowie sämtliche sich zwischen uns

und dem Käufer ergebenden Streitigkeiten aus den zwischen uns

und ihm geschlossenen Kaufverträgen ist unser Firmensitz. Wir sind

jedoch berechtigt, den Käufer auch an seinem Wohn- und/oder Ge-

schäftssitz zu verklagen.

8.2. Die Beziehungen zwischen den Vertragsparteien regeln sich aus-

schließlich nach dem in der Bundesrepublik Deutschland geltenden

Recht. Die Anwendung des einheitlichen Gesetzes über den inter-

nationalen Kauf beweglicher Sachen sowie des Gesetzes über den

Abschluss von internationalen Kaufverträgen über bewegliche Sa-

chen ist ausgeschlossen.

1. Scope of Application

1.1. The terms and conditions of sale below apply to all of our delive-

ries of goods and services. They are a component of oursupply and

service agreements. Deviating terms and conditions are valid only

if and when we have confirmed their application in writing. These

terms and conditions also apply to future deliveries of goods on the

basis of orders by letter, e-mail or telephone, provided that it can

be assumed that the Buyer is aware of the General Terms and Con-

ditions of Business from previous purchase transactions and that

express reference is made to the terms and conditions again at the

time of the conclusion of the contract.

1.2. Objection is expressly raised by our General Terms and Conditions

of Business to Buyer‘s deviating terms and conditions which we

have not expressly accepted. The terms and conditions of sale be-

low also apply if we have carried out the Buyer’s order without

reservation even though we are aware of the Buyer’s contrary or

deviating terms and conditions.

1.3. The Buyer accepts our General Terms and Conditions of Business

by placing an order, but at the latest upon and by accepting the

goods. Oral and telephone commitments, agreements, subsidiary-

agreements, etc., as well as sales or special agreements concluded

by our representatives are not binding on us and are not valid until

we have retroactively confirmed them in writing.

1.4. We are entitled to process data about the Buyer related to the busi-

ness relationship or obtained within the context of the relationship,

regardless of whether the data have been obtained from the Buyer

himself or from third parties, within the sense of the German Feder-

al Data Protection Act.

2. Terms and Conditions of Supply

2.1. Our offers are subject to change and non-binding unless wehave

expressly designated them as binding.

2.2. Orders, engagements, agreements, warranties and any and all

declarations regarding legal transactions do not become binding

on us until our written order confirmation has been received. The

order confirmation is solely and exclusively authoritative for the

scope and performance of the order, even if it shows deviations

from the order, unless objection is raised within one week and we

have accepted the objection.

2.3. Our obligation to supply the goods presumes the Buyer’s credit-

worthiness. If legitimate doubts in this respect arise, we are entitled

to demand security before supplying the goods. If this security is

not provided within a reasonable period, we are entitled to cancel

the contract.

2.4. The drawings, pictures, dimensions and weights as well as warran-

ted characteristics shown in lists and catalogues are to be interpre-

ted in consideration of the tolerances usual in the trade, of DIN

or of usual practice. Deviations from these characteristics do not

represent defects unless the characteristic shave been expressly

warranted in writing.

2.5. We reserve our title of ownership, copyrights and any other intelle-

ctual property rights to any and all pictures, calculations,drawings

and other documents. The Buyer may not divulge them to third

parties without our written consent, regardless of whether we have

designated them to be confidential.

2.6. The assignment of claims which arise against us from a business

transaction is expressly prohibited.

3. Terms and Conditions of Payment

3.1. Our list prices are shown subject to change and non-binding. Our

prices are shown ex works, excluding packaging, freight, installati-

on and VAT, unless otherwise specified in the order confirmation.

Please ask us if you have any questions about our payment or ship-

ping terms.

3.2. All invoices are payable free of transaction charges to the des-igna-

ted account(s) of Pipelife Deutschland GmbH & Co. KG, Bad Zwi-

schenahn, within 10 days of the invoice date with a cash discount

of 3%; they are payable without any deductions within 30 days of

the invoice date.

3.3. If and when the Buyer is in default of payment, legal statutes apply.

3.4. Cheques are accepted at all times on account of payment only and not in

lieu of payment; they will not be deemed payment until they have been

irrevocably redeemed. The acceptance of bills of exchange is excluded.

3.5. Failure to comply with the terms and conditions of payment oro-

ther circumstances which cause doubts regarding the Buyer’s cre-

ditworthiness to arise will result in all of our claims immediately

becoming due and payable.

3.6. Even in the absence of express agreement, we will carry out deli-

veries to buyers with whom we do not have an ongoing business

relationship solely by COD, advance payment oragainst a bank gu-

arantee. The above provision also applies, regardless of any agreed

payment periods, if we learn of circumstances after conclusion of

the contract which give rise to doubts regarding the Buyer‘s capa-

bility or willingness to pay.

3.7. Payments must be made solely to one of our business accounts. Ex-

ceptions are subject to our express written consent.

3.8. The Buyer is entitled to offset claims, even if complaint of defects or coun-

terclaims have been asserted, only if and when the counterclaims have

been finally determined by a court of law or accepted by us or are undispu-

ted. The Buyer is entitled to exercise a right of retention only if and when

his counterclaim is based on the same contractual relationship.

4. Delivery and Performance Time

4.1. Delivery dates or periods which have not been expressly agreed as

binding are shown solely as non-binding information. The delivery

periods we have designated do not begin until all technical que-

stions have been clarified. Moreover, the Buyer shall fulfil any and

all obligations on his part properly and in due time.

4.2. If the purchase contract on which the transaction is based is a fixed

date transaction within the sense of Section 286, Subsection 2, Item

4 BGB (German Civil Code) or Section 376HGB (German Commercial

Code), we are liable in accordance with legal statutes. The above pro-

vision also applies if and when the Buyer is entitled to assert the lapse

of his interest in further fulfilment of the contract as a consequence

of default of delivery for which we are accountable. In this case, our

liability is limited to the foreseeable damage or loss which typically

occurs unless the default of delivery results from an intentional breach

of the contract for which we are accountable; any culpability of our

representatives or vicarious agents is attributable to us.

4.3. We are also liable to the Buyer in accordance with legal statutes

in the event of default of delivery if the default results from an

intentional or grossly negligent breach of the contract by us, our

representatives or our vicarious agents. Our liability is limited to

the foreseeable loss or damage which typically occurs if and when

the default of delivery is not the consequence of an intentional bre-

ach of the contract for which we, our representatives or vicarious

agents are accountable.

4.4. In the event that a default of delivery for which we are accountable

results from the culpable breach of a major contractual obligation,

whereby the culpability of our representatives or vicarious agents is

attributable to us, we are liable in accordance with legal statutes,

subject to the provision that in this case the damage compensation

liability is limited to the foreseeable loss or damage which typically

occurs.

4.5. In all other cases, the Buyer may assert a claim for lump-sum com-

pensation in the amount of 3% of the value of the consignment

for each and every full week of default, but not to exceed 15% of

the value of the consignment in the aggregate, in the event of a

default of delivery for which we are accountable.

4.6. Any more extensive liability for a default of delivery for which we

are accountable is excluded. The above provision is without prejudi-

ce for the further statutory claims and rights of the Buyer to which

he is entitled in addition to damage compensation claims owing to

default of delivery for which we are accountable.

4.7. We are entitled to make partial deliveries and perform partial ser-

vices at any time, provided that this is reasonable for the Customer.

4.8. If the Buyer is in default of acceptance, we are entitled to request

compensation for the resulting loss or damage and any additional

expenses. If the default of acceptance has not been remedied wi-

thin a reasonable subsequent period which we have set, we are

entitled to cancel the contract and demand damage compensation.

The above provision also applies if the Buyer is culpably in breach

of his cooperation obligations. The risk of accidental deterioration

and of accident loss transfers tothe Buyer upon the occurrence of

the default of acceptance or of the debtor.

4.9. Goods which have been ordered on a release basis must be released

within 6 months unless a deviating period has been agreed in wri-

ting or has been confirmed by us. If no release order is issued during

this period, the Buyer is in default of acceptance.

5. Transfer of Risk – Shipping/Packaging

5.1. Loading and shipment are uninsured and carried out at the Buyer’s

risk. We will strive to take into account the Buyer’s re-quests and in-

terests with regards to type and route of shipment; any additional

expenses incurred for this reason – even if freight-free delivery has

been agreed – is at the Buyer’s expense.

5.2. Any required packaging will be billed at cost, and its return will not

be accepted (Interseroh Contract No. 111467, PKR Pool Contract of

18/02/2003).

5.3. The risk transfers to the Buyer upon the surrender of the goods

to the shipping agent or the carrier, but no later than upon their

dispatch from the plant or warehouse.

5.4. If the shipment is delayed at the request of or through the fault of the

Buyer, we will store the goods at the Buyer’s expense and risk. In this case,

the notification of readiness for shipment is equivalent to shipment.

5.5. At the Buyer’s request and expense, we will secure the consignment

by concluding a transport insurance policy.

6. Retention of Title

6.1. Until any and all claims, including any and all balance claims from

current accounts, to which we are entitled against the Buyer,

now or in future, have been settled, the delivered goods (reser-

ved goods) remain our property. In the event of Buyer’s conduct in

breach of contract, e.g., default of payment, we have the right to

take back the reserved goods after previously setting a reasonable

period. If we take back the reserved goods, this action constitutes

the cancellation of the contract. If we pledge the reserved goods,

this constitutes the cancellation of the contract. We are entitled to

make use ofthe reserved goods after taking them back. The income

from the utilisation shall be set off against the amounts owed to us

by the Buyer after the deduction of a reasonable amount for the

utilisation expenses.

6.2. The Buyer shall handle the reserved goods with care and insure

them adequately at replacement cost for fire and water damage

and for theft at his expense. The Buyer shall carry out at his expense

any necessary service and inspection work in due time.

6.3. The Buyer is entitled to sell and/or to use the reserved goods in

the orderly course of business, provided that he is not in default of

payment. Pledges or assignments by way of securityare prohibited.

The Buyer hereby assigns to us here and nowany and all claims ari-

sing from the further sale or for any other legal reason (insurance,

actions in tort) related to the reserved goods (including any and

all balance claims from current accounts) in full by way of security;

we hereby accept the assignment. We hereby authorise the Buyer,

subject to revocation, to collect the assigned claims for his account

on his own behalf. The collection authorisation may be revoked at

any time if and when the Buyer does not properly fulfil his payment

obligations. The Buyer is not authorised to assign this claim, even

for the purpose of collecting the claim by way of factoring, unless

the assignment simultaneously establishes the factor‘s obligation to

pay the consideration in the amount of the claims directly to us as

long as we still have claims against the Buyer.

6.4. The processing or conversion of the reserved goods by the Buyer

is undertaken on our behalf in each and every case. If and when

the reserved goods are processed together withother goods which

do not belong to us, we acquire co-ownership in the new item in

the ratio of the value of the reserved goods (final invoice amount,

including VAT) to the other processed goods at the point in time

of the processing. The same requirements apply to the new item

created by the processing as to the reserved goods. In the event

of the inseparable mixing of the reserved goods with other goods

which do not belong to us, we acquire co-ownership in the new

item in the ratio of the value of the reserved goods (final invoice

amount, including VAT) to the other mixed goods at the point in

time of the mixing. If and when the Buyer’s item is to be regarded

as the primary item as a consequence of the mixing, we and the

Buyer are in agreement that the Buyer assigns tous a proportionate

co-ownership in this item; we hereby accept the assignment. The

Buyer safeguards on our behalf anysole ownership or co-ownership

in an item acquired in this manner.

6.5. In the event of seizures of the reserved goods by third parties, in

particular attachments, the Buyer will refer to our ownership and

will notify us immediately so that we can successfully assert our

rights of ownership. If the third party is not in a position to reim-

burse us for any court or out-of-court expenses occurred for this

purpose, the Buyer is liable for the reimbursement.

6.6. We are obligated to release any securities to which we are en-titled

if and when the realisable value of our securities exceeds the value

of the claims being secured by more than 10%; the selection of the

securities to be released will be at our discretion.

7. Complaints due to Defects and Warranty

7.1. The Buyer is entitled to claims due to defects only if and when the

Buyer has properly fulfilled his inspection and complaint obliga-

tions pursuant to Section 377 HGB.

7.2. If and when there is a defect in the goods for which we are ac-coun-

table, we are obligated to subsequent performance, provided that

we are not entitled to refuse subsequent performance on the basis

of statutory regulations. The Buyer’s right to cancel the contract or

to reduce the purchase price is excluded. The Buyer must set a re-

asonable period for our subsequent performance. The subsequent

performance can be carried out, at the discretion of the Buyer, by

remedy of the defect (subsequent improvement) or by de

livery of new goods. In the event of remedy of defects, we will bear the

required expenses, provided that they have not been increased because

the goods are in a different location than the place of performance.

If subsequent performance has failed, the Buyer may, athis discretion,

demand reduction of the purchase price or declare rescission of the con-

tract. Subsequent performance willbe deemed to have failed after two

fruitless attempts, unlessfurther attempts at subsequent improvement

are appropriate due to the nature of the goods and are reasonable for

the Buyer. The Buyer may assert claims for damage compensation pur-

suant to the following terms and conditions only if and when the sub-

sequent performance has failed. These provisions are without prejudice

for the Buyer’s right to assert more extensive damage compensation

claims pursuant to the termsand conditions below.

7.3. Buyer’s claims due to defects are subject to a limitation period of one

year after delivery of the goods to the Buyer. However,the above pro-

vision does apply in the cases of Section 438,Subsection 1, Item 1 BGB

(legal defects in immovables), Section 438, Subsection 1, Item 2 BGB

(buildings and objects for buildings), Section 634a, Subsection 1, Item

2 BGB (buildings or works for which the success is founded in the per-

formance of planning or supervisory services) or in the event that we

have fraudulently concealed the defect. In the cases of Section 438,

Subsection 1, Item 1 BGB (legal defects in immovables), Section 438,

Subsection 1, Item 2 BGB (buildings and objects for buildings) or Sec-

tion 634a, Subsection 1, Item 2 BGB (buildings or works for which the

success is founded in the performance of planning or supervisory ser-

vices), claims due to defects are subject to a limitation period of three

years.Claims become time-barred in cases of fraudulent concealment

of defects upon lapse of the statutory period which would apply in

the absence of fraudulent concealment, excluding the extension of

the period in the case of fraudulent concealment pursuant to Sections

438, Subsection 3, and Section 634a, Subsection 3 BGB. The shortening

of the limitation periods is without prejudice for our obligations pur-

suant to Clauses 7.4 and 7.5. The limitation periods also apply against

us for any damage compensation claims related to the defects.

7.4. We are obligated, in accordance with statutory provisions, to ac-

cept return of the new goods or to reduce the purchase price, even

without setting a deadline as otherwise required, if and when the

Buyer’s customer as the consumer of the purchased, new movable

object (purchase of commodities) wasable to demand acceptance

of the return of the goods or the reduction of the purchase price

due to the defect in these goods with respect to the Buyer or if a

regress claim resulting under the same circumstances is asserted

against the Buyer. Furthermore, we are obligated to reimburse any

expenses incurred by the Buyer, in particular transport, toll, labour

and material costs, which the Buyer must bear in his relationship to

the end consumer within the course of the subsequent performance

as a consequence of a defect in the goods which existed at the time

of the transfer of risk from us to the Buyer. The claim is excluded if

and when the Buyer did not properly fulfil his examination and com-

plaint obligations pursuant to Section 377 HGB.

7.5. The obligation in accordance with Clause 7.4. is excluded if

and when it is a defect based on advertising claims or other

contractual obligations which did not originate with us or if

and when the Buyer has given the end consumer a special

warranty. The obligation is also excluded if and when the Bu-

yer himself was not obligated to exercise the warranty rights

with respect to the end consumer on the basis of the statutory

regulations or did not submit this complaint with regard to a

claim made against him. The above provision also applies if and

when the Buyer has accepted warranties with respect to the

end consumer which exceed the legal extent.

7.6. We are liable in accordance with statutory provisions for damage

to life, body and health resulting from a negligent or intentional

breach of obligations on our part or on the part of our legal repre-

sentatives or our vicarious agents as well as for loss or damage for

which liability is mandatory pursuant to the German Product Liability

Act. We are liable in accordance with statutory provisions for any

loss or damage which is not covered by Sentence 1 and which is a

consequence of intentional or grossly negligent breaches of contract

or fraudulent concealment on our part or on the part of our legal re-

presentatives or vicarious agents. In this case, however, the damage

compensation liability is limited to the foreseeable loss or damage

which typically occurs, provided that we, our legal representatives

or our vicarious agents have not acted with malicious intent. We are

also liable within the scope of any warranty to the extent that we

have declared a warranty regarding the characteristics and/or sto-

rage life of the goods or parts thereof. However, we are liable for loss

or damage resulting the lack of warranted characteristics or storage

life, but which does not occur directly to the goods, only if and when

the risk of such loss or damage was clearly included in the warranty

of characteristics or storage life.

7.7. We are also liable for loss or damage caused by simple negli-gence,

provided that the negligence is related to the breach of contractual

obligations which are of such importance that compliance with the

obligations is of special significance for achievement of the purpose

of the contract (cardinal obligations). However, we are liable only

to the extent that the lossor damage is typically associated with the

contract and is foreseeable.

7.8. Any further liability, without regard for the legal nature of the-

asserted claim, is excluded; this provision applies in particular to

claims in tort or claims for compensation of fruitless expenses in lieu

of performance. This provision is without prejudice for our liability

due to default of delivery pursuant to Clauses 4.2 to 4.5 of this con-

tract. If and when our liability is excluded or limited, the exclusion

or limitation also applies to the personal liability of our employees,

co-workers, representatives or vicarious agents.

7.9. Buyer’s damage compensation claims which are not related toa de-

fect are subject to a limitation period of one year as of delivery of

the goods unless we intentionally caused the damageor loss.

8. Place of Performance and Jurisdiction, Proper Law

8.1. Place of performance and courts of jurisdiction for deliveries and

payments (including litigation related to cheques) as wellas for any

and all disputes arising between us and the Buyer as a consequence

of the purchase contracts concluded between us and him are the

place of our registered office. However, we are entitled to file suit

against the Buyer at courts having jurisdiction over his domicile

and/or registered office.

8.2. The relationships between the Parties are governed sole-

ly and exclusively by the laws of Germany. The application

of the Uniform Law on the International Sale of Movable

Goods and ofthe Law on the Conclusion of International

Sales Contracts for Movable Goods is excluded.
