Art. 1 Allgemeine Vertragsbedingungen (Auszug aus Ordnung SIA 102, 2003)

Der Architekt wahrt die Interessen des Auftraggebers, insbesondere die Erreichung seiner Ziele, nach bestem Wissen und Können und erbringt die vertraglich vereinbarten Leistungen unter Beachtung der allgemein anerkannten Regeln seines Fachgebiets.

Treuepflicht

Der Architekt nimmt von Dritten, wie Unternehmern und Lieferanten, keine persönlichen Vergünstigungen entgegen. Kenntnisse aus der Auftragsbearbeitung behandelt er vertraulich und verwendet sie nicht zum Nachteil des Auftraggebers.

Inhalt und Umfang der Vertretungsbefugnisse des Architekten richten sich nach dem Vertrag.

Im Zweifelsfall hat der Architekt die Weisungen des Auftraggebers einzuholen für alle rechtsgeschäftlichen Vorkehren sowie für Anordnungen, die terminlich, qualitativ oder finanziell wesentlich sind.

Gegenüber Dritten, wie Behörden, Unternehmern, Lieferanten und weiteren Beauftragten, vertritt der Architekt den Auftraggeber rechtsverbindlich, soweit es sich um Tätigkeiten handelt, die mit der Auftragserledigung üblicherweise direct zusammenhängen. Sämtliche mündlichen oder schriftlichen Abmahnungen sind umgehend in schriftlicher Form an den Auftraggeber weiterzuleiten.

Zur Abwehr von Schaden und Gefahr ist der Architekt, in dringlichen Fällen auch ohne Einholung des Einverständnisses des Auftraggebers, befugt und verpflichtet, sämtliche angemessenen Massnahmen zu ergreifen bzw. anzuordnen.

Behördliche Verfügungen

Behördliche Verfügungen, die negative Entscheide oder einschränkende Auflagen und Bedingungen enthalten, sind dem Auftraggeber sofort zur Kenntnis zu bringen, so dass die Möglichkeit zur Ergreifung von Rechtsmitteln gewahrt bleibt.

Abmahnungspflicht

Der Architekt hat den Auftraggeber auf Folgen seiner Weisungen, insbesondere hinsichtlich Terminen, Qualität und Kosten, aufmerksam zu machen und unzweckmässige Anordnungen und Begehren abzumahnen. Beharrt der Auftraggeber trotz Abmahnung auf seiner Weisung, ist der Architekt für deren Folgen nicht verantwortlich.

Für die Abmahnung wird die Schriftform empfohlen.

Beharrt der Auftraggeber trotz Abmahnung darauf, Sicherheitsregeln nicht einzuhalten, kann der Architekt, um seine Haftung auch gegenüber Dritten auszuschliessen, sein Mandat niederlegen. Eine Schadenersatzpflicht gegenüber dem Auftraggeber wegen Kündigung zur Unzeit ist diesfalls ausgeschlossen.

Rechenschaftsablegung

Auf Verlangen legt der Architekt jederzeit über seine Geschäftsführung Rechenschaft ab und gibt alle Unterlagen heraus, zu deren Erstellung er sich im Rahmen der vereinbarten Honorierung vertraglich verpflichtet hat.

Aufbewahrung von Dokumenten

Die Arbeitsergebnisse bleiben Eigentum des Architekten. Sie sind als Originale oder in geeigneter anderer, gebrauchsfähiger Form während zehn Jahren ab Beendigung des Auftrages aufzubewahren.

Rechte des Architekten

Urheberrecht

Das Urheberrecht an seinem Werk verbleibt beim Architekten. Als Werke gelten insbesondere auch Entwürfe und Teile von Werken, sofern es sich um geistige Schöpfungen mit individuellem Charakter handelt.

Veröffentlichungen

Der Architekt kann sein Werk unter Wahrung der Interessen des Auftraggebers veröffentlichen. Es steht ihm auch das Recht zu, in entsprechenden Veröffentlichungen des Auftraggebers oder Dritter als Urheber genannt zu werden.

Beizug von Dritten zur Vertragserfüllung

Der Architekt ist befugt, für die Erfüllung seiner vertraglichen Pflichten, auf eigene Kosten Dritte beizuziehen.

Abschlagszahlungen, Sicherstellung, Vorauszahlung

Der Architekt hat Anspruch auf Abschlagszahlungen von mindestens 90% der vertragsgemäss erbrachten Leistungen. Mit Eintreffen der Schlussabrechnung beim Auftraggeber wird das restliche Honorar für die erbrachten Leistungen zur Zahlung fällig. Die Zahlung des Honorars für die Leitung, Organisation und Überwachung der Mängelbehebung wird nach Ablauf der Garantiefreist (Rügefrist) gemäss Norm SIA 118 (Ordnung) fällig, wenn der Architekt die ihm obliegenden Leistungen erbracht hat.

Der Architekt kann Sicherstellung seines Honorars oder angemessene Vorauszahlung verlangen.

Pflichten des Auftraggebers

Zahlungsbedingungen

Die Rechnungen sind innerhalb von dreissig Tagen nach Erhalt zu begleichen. Das Honorar soll der erbrachten Leistung entsprechen. Das volle vereinbarte Honorar ist nur für die vertragsgemäss erbrachte Leistung geschuldet.

Weisungen

Dritten erteilt der Auftraggeber keine direkten Weisungen. Andernfalls hat er den Architekten rechtzeitig schriftlich zu orientieren.

Zahlungen an beigezogene Dritte

Der Auftraggeber gibt dem Architekten rechtzeitig schriftlich Kenntnis von allenfalls direkt an Dritte geleistete Zahlungen.

Schadenverhütung und -minderung

Der Auftraggeber ergreift rechtzeitig alle zumutbaren Massnahmen, die geeignet sind, der Entstehung oder Vergrösserung eines Schadens entgegenzuwirken. Erhebt er gegenüber einem oder mehreren Unternehmern oder Lieferanten ausnahmsweise direkt Mängelrügen, so teilt er dies dem Architekten unverzüglich schriftlich mit.

Rechte des Auftraggebers

Weisungen

Der Auftraggeber ist gegenüber dem Architekten weisungsberechtigt. Beharrt der Auftraggeber trotz Abmahnung auf einer Weisung, so trägt er allein die Folgen.

Zahlungen an beigezogene Dritte

Bei Zahlungsschwierigkeiten des Architekten sowie bei Vorliegen wichtiger Gründe ist der Auftraggeber berechtigt, einen durch den Architekten beigezogenen Dritten (Art. 1.4.3) mit befreiender Wirkung gegenüber dem Architekten direkt zu bezahlen. Er hört jedoch hierzu vorgängig die Beteiligten an.

Der Auftraggeber ist berechtigt, von den Arbeitsergebnissen, zu deren Herstellung sich der Architekt verpflichtet hat, Kopien erstellen zu lassen. Er hat dem Architekten die entsprechenden Auslagen zu ersetzen.

Nutzung von Arbeitsergebnissen des Architekten

Mit Bezahlung des Honorars steht dem Auftraggeber das Recht zu, die Arbeitsergebnisse des Architekten für den vereinbarten Zweck zu verwenden.

1.7

Gesamtleitung

Die Aufgaben der Gesamtleitung sind in Art. 3.4.1 dieser Ordnung umschrieben.

1.8

Fristverlängerungen und Terminverschiebungen

Erbringt eine Partei eine vereinbarte Leistung nicht fristgemäss, kann sie von der anderen Partei durch schriftliche Mahnung in Verzug gesetzt werden. Für die mahnende Partei verschieben sich die Fristen und Termine, zu deren Einhaltung sie sich verpflichtet hat, angemessen. Weitere Ansprüche aus Verzug bleiben vorbehalten.

Haftung

Haftung des Architekten

Bei verschuldet fehlerhafter Auftragserfüllung hat der Architekt dem Auftraggeber den dadurch entstandenen Schaden zu ersetzen. Dies gilt insbesondere bei Verletzung seiner Sorgfaltsund Treuepflicht, bei Nichtbeachtung oder Verletzung anerkannter Regeln seines Fachgebietes, bei mangelnder Koordination oder Beaufsichtigung, bei ungenügender Kostenerfassung sowie bei Nichteinhaltung von verbindlich vereinbarten Fristen oder Terminen.

Wo die Erreichung der Ziele des Auftraggebers von Umständen abhängt, die nicht der Architekt zu vertreten hat, kann ihm das Nicht-Erreichen eines Ziels des Auftraggebers infolge dieser Umstände nicht zur Last gelegt werden. Dies gilt insbesondere auch für die nicht sicher voraussehbaren Entscheide von Dritten, etwa betreffend die Erteilung von Bewilligungen oder Krediten.

Für die Leistungen von beigezogenen selbständigen Dritten, die im direkten Vertragsverhältnis zum Auftraggeber stehen, haftet der Architekt nicht.

Für die Tätigkeiten von Dritten, die er selber beigezogen hat, haftet der Architekt gemäss Art. 101 Obligationenrecht¹.

Verlangt der Auftraggeber entgegen der Abmahnung des Architekten den Beizug eines bestimmten Dritten, haftet der Architekt lediglich für gehörige Instruktion und Überwachung des Dritten.

Haftung des Auftraggebers bei Nichteinhaltung von Fristen und Terminen Soweit es am Auftraggeber liegt, dass Fristen und Termine nicht eingehalten werden, hat er dem Architekten allfällige Mehraufwendungen zu vergüten. Darüber hinausgehende Schadenersatzansprüche des Architekten bleiben vorbehalten.

Arbeitsunterbruch

Bei nicht vorausgesehenem oder in seiner Länge ungewissem Unterbruch oder bei erheblicher Verzögerung der Auftragserledigung hat der Architekt Anspruch auf Ersatz des ihm erwachsenen Schadens, falls der Auftraggeber den Unterbruch bzw. die Verzögerung verschuldet hat.

Verlangt jedoch der Auftraggeber nach Abschluss einer Planungsphase mit der Inangriffnahme der nächsten Phase zuzuwarten, so schuldet er deswegen dem Architekten keinen Schadenersatz.

Bedingt die Verzögerung bei Wiederaufnahme der Arbeiten zusätzliche Leistungen, ist deren Honorierung vor der Wiederaufnahme der Arbeiten schriftlich zu vereinbaren.

Art. 101 OR

Haftung für Hilfspersonen

¹ Wer die Erfüllung einer Schuldpflicht oder die Ausübung eines Rechtes aus einem Schuldverhältnis, wenn auch befugterweise, durch eine Hilfsperson, wie Hausgenossen oder Arbeitnehmer, vornehmen lässt, hat dem anderen den Schaden zu ersetzen, den die Hilfsperson in Ausübung ihrer Verrichtungen verursacht.

² Diese Haftung kann durch eine zum Voraus getroffene Verabredung beschränkt oder aufgehoben werden.

³ Steht aber der Verzichtende im Dienst des anderen oder folgt die Verantwortlichkeit aus dem Betriebe eines obrigkeitlich konzessionierten Gewerbes, so darf die Haftung höchstens für leichtes Verschulden wegbedungen werden.

Mehrwertsteuer

Die Mehrwertsteuer ist im Vertrag und in allen Abrechnungen offen auszuweisen. Sie ist zu dem im Zeitpunkt der Leistungserbringung aktuellen Satz zusätzlich zu den Honoraren, Nebenkosten und vereinbarten Vergütungen von Drittleistungen durch den Auftraggeber zu bezahlen.

Verjährung

Generelle Verjährung

Ansprüche aus dem Vertrag verjähren innert zehn Jahren ab dem Zeitpunkt der schädigenden Handlung.

Bei Werkmängeln

Ansprüche aus Mängeln des Bauwerkes verjähren innert fünf Jahren. Die Frist beginnt mit der Abnahme des Werkes beziehungsweise des Werkteils zu laufen. Solche Mängel können während der ersten zwei Jahre nach der Abnahme jederzeit gerügt werden. Nach Ablauf dieser Frist sind die Mängel sofort nach der Entdeckung zu rügen. Den aus der verzögerten Rüge entstehenden Schaden trägt der Auftraggeber selber.

Bei Gutachten bemisst sich die Verjährungsfrist nach Massgabe des Schweizerischen Obligationenrechtes.

1.12

Vorzeitige Beendigung des Vertrages

Die Rechtsfolgen einer vorzeitigen Beendigung des Vertrages richten sich nach den Bestimmungen des Schweizerischen Obligationenrechts.

Erfolgt die Kündigung durch den Auftraggeber zur Unzeit, so ist der Architekt berechtigt, nebst seinem Honorar für die vertragsgemäss geleistete Arbeit, einen Zuschlag zu fordern. Der Zuschlag beträgt 10% des Honorars für den entzogenen Auftragsteil oder mehr, wenn der nachgewiesene Schaden grösser ist. Eine Kündigung zur Unzeit durch den Auftraggeber liegt insbesondere vor, wenn der Architekt

keinen begründeten Anlass zur Kündigung gegeben hat und die Kündigung hinsichtlich des Zeitpunktes und der von ihm getroffenen Dispositionen für ihn nachteilig ist.

Erfolgt die Kündigung durch den Architekten zur Unzeit, hat der Auftraggeber Anspruch auf Ersatz des nachgewiesenen Schadens.

1.13

Mediation

Sofern schriftlich vereinbart, ist über allfällige sich aus dem vorliegenden Vertrag ergebende Streitigkeiten (einschliesslich solche über das gültige Zustandekommen des Vertrages, dessen Rechtswirksamkeit, Abänderung oder Aufhebung) ein Mediationsverfahren durchzuführen.

1.14

Gerichtsbarkeit

Zuständig für die Beurteilung von Streitigkeiten unter den Vertragsparteien sind die ordentlichen Gerichte.

Sofern aber schriftlich vereinbart, werden solche Streitigkeiten durch ein Schiedsgericht gemäss Richtlinie SIA 150 (Richtlinie

für das Verfahren vor einem Schiedsgericht) entschieden.
