Die 3D-MID-(Molded Interconnect Devices-)Technologie er- möglicht die Integration mechanischer und elektronischer Funktionen in einem Bauteil auf engstem Raum. Die elektroni-sche Schaltung wird dabei in das Gehäuse integriert, wodurch die kompakte Bauweise und die Funktionsdichte entschei-dend erhöht werden können. Immer mehr Anwendungen mit elektrischen beziehungsweise elektrooptischen Schaltungen werden heute mit der 3D-MID-Technologie realisiert. Spritz- gegossene Schaltungsträger erlauben, die Prozessschritte, die Montagezeiten und die Anzahl Bauteile drastisch zu redu-zieren. Hauptanwendungsbereiche finden sich im Automotive, in der Medizinaltechnik, der Industrieelektronik und der Tele-kommunikation.

gen durch den Einsatz einer flexiblen beziehungsweise starr-flexiblen Leiterplatte oder mit der 3D-MID-Technologie am effizientesten gelöst werden können. Zudem bietet die Cicor Gruppe alle Prozessschritte für die Herstellung von in 3D-MID- Technologie gefertigten Produkten aus einer Hand an – vom Spritzguss über Laserstrukturierung und Metallisierung bis zu Aufbau- und Verbindungstechnik und Montage.

Im ersten Halbjahr 2011 setzte die Cicor Gruppe ihren Aufwärtstrend fort. Sie stärkte ihre Position in den fokussierten Absatzmärkten, vorab in der hoch anspruchsvollen Medizinaltechnik sowie in den Bereichen Auto-motive und Industrieanwendungen. Parallel investierte Cicor in das zukünftige Wachstum der Gruppe. In China gründete die Gruppe ein eigenes Unternehmen, um neue Produktionskapazitäten aufzubauen und diesen Schlüsselmarkt schneller zu erschliessen. In Amerika baute die Gruppe ihre Vertriebsstruktur weiter aus. Zudem eröffnete Cicor ein Kompetenzzentrum in Boudry, Schweiz, für die richtungsweisende 3D-MID-Technologie. Die Gruppe bietet alle Prozessschritte für die Herstellung von in 3D-MID-Technologie gefertigten Produkten aus einer Hand an und nimmt damit eine einmalige Stellung in der Elektronikindustrie ein, die aktuell vom Trend zur Miniaturisierung und Rationalisierung geprägt ist. Gebremst wurde die Unternehmensleistung durch die verhal-tene Konsumentenstimmung und Lieferengpässe in Japan, aufgeschobene Aufträge im Kernenergiesektor sowie durch den starken Schweizer Franken. Dieser Gegenwind beeinträchtigt die Profitabilität der Gruppe. Mit Blick nach vorne setzt sich Cicor zum Ziel, zusätzlich mit grossvolumigen Projekten zu wachsen.

Investitionen in zukünftiges Wachstum

In den ersten sechs Monaten des Geschäftsjahrs 2011 er-wirtschaftete die Cicor Gruppe Nettoerlöse in der Höhe von CHF 94,6 Mio. (1. Halbjahr 2010: CHF 88,4 Mio.). Dies entspricht einer Ausweitung des Geschäftsvolumens um 7,0 % respek-tive 9,8 % in lokalen Währungen. Das Betriebsergebnis vor Abschreibungen und Amortisationen (EBITDA) verbesserte sich auf CHF 5,9 Mio. (1. Halbjahr 2010: CHF 4,9 Mio., + 20,5 %). Das Betriebsergebnis (EBIT) erreichte CHF 2,0 Mio. (1. Halbjahr 2010: CHF 0,9 Mio., + 116,6 %). Darin enthalten sind der nega-tive Währungseinfluss sowie die Investitionen in den Aufbau des Chinageschäfts und die 3D-MID-Kompetenz im Umfang von CHF 1,2 Mio. Auf Stufe Nettogewinn resultierte ein Gewinn von CHF 0,3 Mio. im Vergleich zum Verlust von CHF –1,5 Mio. in der Vorjahresperiode. Mit einer Eigenkapitalquote von 58,0 % per 30. Juni 2011 ist die Gruppe solide finanziert.

Der starke Schweizer Franken, insbesondere gegenüber den für die Gruppe wichtigen Euro und US-Dollar, hemmte die Geschäftsentwicklung und wirkte sich negativ auf die Profita-bilität aus. Dank der globalen Präsenz mit eigenen Produkti-onsstätten im Euroraum und in Asien sowie dem Abgleich der Güterströme auf die einzelnen Währungsräume konnte Cicor die negativen Auswirkungen eindämmen. Zudem gelang es der Gruppe, in den wichtigen Bereichen Medizinaltechnik, Lifestyle, Industrie und im Bereich Luft-/Raumfahrt und Verteidigungs- technik Grossaufträge zu gewinnen. Der Auftragseingang stei-gerte sich gegenüber der Vorjahresperiode um 3,8 % auf CHF 96,5 Mio. (1. Halbjahr 2010: CHF 92,9 Mio.), währungsbe-reinigt um 7,5 %.

In der Berichtsperiode steigerte Cicor ihre Innovationskraft. Die Gruppe intensivierte die divisionsübergreifende Zusam-menarbeit und erweiterte das hochspezialisierte Produkt- und Dienstleistungsangebot. Dank der Nutzung von Synergien und der konsequenten Ausrichtung an den Bedürfnissen der glo-balisierten Produktionslandschaft kann Cicor komplexe Ein-zelkomponenten und Produkte zukünftig effizienter und kos-tengünstiger entwickeln und fertigen. Gleichzeitig stärkte das Management den integrierten Marketing- und Verkaufsansatz mit gezielten Marketingaktivitäten sowie internen Schulungen.

Printed Circuit Boards Division: Erfreuliche Effizienzsteigerung

Der Nettoerlös der Printed Circuit Boards Division wuchs in der Berichtsperiode gegenüber Vorjahr um 10,1 % auf CHF 19,6 Mio. (1. Halbjahr 2010: CHF 17,8 Mio.). Es ist insbesondere auf neue Aufträge in den Bereichen Medizinaltechnik und Luft-/Raumfahrt und Verteidigungstechnik zurückzuführen. Das Betriebsergeb-nis (EBIT) erreichte eine schwarze Null und verbesserte sich damit gegenüber der Vorjahresperiode (1. Halbjahr 2010: CHF –0,2 Mio.). In einem wettbewerbsintensiven Umfeld erzielte die Division Fortschritte und erhöhte dank optimier-ten Abläufen ihre Effizienz. Im Ergebnis enthalten sind zudem die Investitionen in die 3D-MID-Technologie. Am Standort Boudry (Schweiz) eröffnete Cicor ein Kompetenzzentrum, das sich auf die Entwicklung und kundenspezifische Applikation von 3D-MID-Produkten konzentriert und die Weitergabe des Fertigungs-Know-how an alle Cicor Unternehmen weltweit sicherstellt. Heute werden immer mehr Anwendungen mit elektrischen beziehungsweise elektrooptischen Schaltungen mit der 3D-MID-Technologie realisiert. Cicor verspricht sich von der Investition in diese Schlüsseltechnologie Wettbewerbsvor-teile und entscheidende Wachstumsimpulse.

Microelectronics Division: Aufgeschobene Investitionen der öffentlichen Hand

Die Microelectronics Division sah sich im ersten Halbjahr 2011 einem anhaltend anspruchsvollen Marktumfeld aus- gesetzt. Die Division erwirtschaftete einen Nettoerlös von CHF 14,8 Mio. (1. Halbjahr 2010: CHF 15,2 Mio.), was einer Stei-gerung von –2,8 % respektive 4,5 % in lokalen Währungen ent-spricht, und erzielte ein Betriebsergebnis (EBIT) von CHF 0,3 Mio. (1. Halbjahr 2010: CHF 0,9 Mio.). Die nach der Katastrophe in Japan ausgelöste Diskussion über die Zukunft der Kernener-gie und die knappen Staatshaushalte resultierte in einer fort- gesetzten, verhaltenen Investitionspolitik der öffentlichen Hand. Dennoch gelang es der Division, im Verteidigungsbereich einen Grossauftrag für die Fertigung von hochspezialisierten Mikroelektronikmodulen für Lagesensoriksysteme zu gewin-nen. Im Bereich der Dünnschichtkeramiken intensivierte Cicor ihre Verkaufsanstrengungen in der Medizinal- und Industrie-sparte, wo die Division neben Luft-/Raumfahrt und Verteidi-gungstechnik ein starkes zweites Standbein aufbaut. Zudem trieb Cicor die Projekte in der neuen Dünnschicht-Flex-Tech-nologie als Alternative zur klassischen Dünnschicht voran. Sie werden sich in den kommenden Jahren schrittweise positiv auf den Geschäftsverlauf auswirken. In den Bereichen Dickschicht, Mikromontage, und Modulbau schliesslich verlief das Geschäft erfreulich.

Electronic Solutions Division: Gut in Fahrt!

Die Electronic Solutions Division steigerte in der Berichts- periode ihren Nettoerlös auf CHF 50,1 Mio. (1. Halbjahr 2010: CHF 44,8 Mio.). Dies entspricht einem soliden Wachstum von 11,8 % respektive 13,0 % in lokalen Währungen. Das Betriebsergebnis (EBIT) erreichte CHF 2,8 Mio. (1. Halbjahr 2010: CHF 0,4 Mio.). Der Gewinn von verschiedenen Grossaufträgen widerspiegelt die erfreuliche Entwicklung der Division. Sie um-fassen die Herstellung von Bewegungsmeldern der neuesten Generation, das komplette Redesign und die Produktion inklu-sive Überarbeitung und Optimierung der Software für Produk-te im Ernährungs- und Medizinalbereich sowie die Herstellung der Elektronikeinheit für die neue Generation eines medizi- nischen Gerätes. Die Erfolge unterstreichen die ausgezeich-nete Positionierung in den für die Division wichtigen Märkten Medizinaltechnik, industrielle Anwendungen und Transport.

Dank der Fachkompetenz und den umfangreichen internen Design- und Fertigungskapazitäten mit eigenen Produktions-stätten in Europa und Asien ist Cicor in der Lage, ihren Kun-den höchste Qualität aus einer Hand zu bieten. Mit Bezug auf die Profitabilität machte die Division weitere Fortschritte. Die Division erhöhte dank optimierten Abläufen, der abgeschlos-senen Integration der Systel SA in die Swisstronics Contract Manufacturing AG und der neu strukturierten Materialbewirt-schaftung ihre Effizienz. Sie profitierte ausserdem von verein-fachten Abläufen und Prozessen sowie optimierten Schnittstel-len zwischen den Produktionswerken in Bronschhofen (Schweiz), Arad (Rumänien) und Anam (Vietnam). Die umfassende Integra-tion des Standortes Anam in das bestehende ERP-System (SAP) wird im September 2011 abgeschlossen sein.

Asia Division: Gründung Suzhou Cicor Technology Co. Ltd.

Die Asia Division erzielte im ersten Halbjahr 2011 einen Netto-erlös von CHF 10,5 Mio. (1. Halbjahr 2010: CHF 11,0 Mio.). Dies entspricht einer Steigerung von –4,2 % respektive 3,7 % in lokalen Währungen. Das Betriebsergebnis (EBIT) betrug CHF 0,7 Mio. (1. Halbjahr 2010: CHF 0,9 Mio.). Ausschlaggebend für den leichten Rückgang sind der Währungseinfluss und die Investitionen in die Gründung und den Aufbau der Suzhou Cicor Technology Co. Ltd. Die Präsenz mit einer eigenen Grup-pengesellschaft direkt vor Ort erlaubt Cicor die gezielte Markt-bearbeitung und damit den raschen Ausbau der Aktivitäten im Schlüsselmarkt China. Vielversprechend für Cicor sind ins-besondere die Bedürfnisse des dynamisch wachsenden loka-len Marktes. In China sind in den letzten Jahren viele mittel- grosse Unternehmen entstanden, die eine grosse Nachfrage nach dem umfassenden technischen Know-how und den Fähigkeiten der Cicor Gruppe zeigen.

Auch der Asia Division gelang es, wichtige neue Aufträge zu akquirieren, darunter ein Grossauftrag für die komplette Herstellung von elektronischen Produkten im Lifestyle- und Schönheitsbereich. Insgesamt stärkte Cicor ihren lokalen Foot-print im wichtigen Zukunftsmarkt Asien, wo das Unterneh- men nunmehr mit eigenen Produktionsstätten in Indonesien, Singapur, Vietnam und neu in China präsent ist.

Personelle Wechsel

Erich Trinkler übernahm Anfang August als Executive Vice President und Mitglied der Gruppenleitung die operative Ver-antwortung für die Führung der Electronic Solutions Division. Er trat die Nachfolge von André Bermann an, der eine neue berufliche Herausforderung ausserhalb der Cicor Gruppe angenommen hatte. Ende August 2011 wird zudem Franz Rutzer, Chief Financial Officer und Mitglied der Gruppenleitung, von seiner Funktion zurücktreten. Als sein Nachfolger wurde Markus Brütsch ernannt. Er wird per 1. November 2011 zur Cicor Gruppe stossen. Schliesslich endete anlässlich der Generalver-sammlung vom 4. Mai 2011 die Amtszeit von François Gabella als Verwaltungsrat. Der Verwaltungsrat und die Gruppenleitung danken François Gabella, Franz Rutzer und André Bermann für ihr grosses Engagement für die Cicor Gruppe und heissen Erich Trinkler und Markus Brütsch herzlich willkommen.

Akquisition von grossvolumigen Projekten

Im zweiten Halbjahr 2011 will die Cicor Gruppe ihre Wachs-tumsstrategie konsequent fortsetzen und Fortschritte in der Effizienz und Profitabilität ihrer Aktivitäten erzielen. Wie die aktuellen Halbjahresergebnisse aufzeigen, hemmt der gegen-wärtig starke Schweizer Franken die Geschäftsentwicklung. Der Verwaltungsrat und das Management sind überzeugt, den richtigen Weg eingeschlagen zu haben. Das einzigar-tige Know-how und die industriell und geografisch breite Präsenz bieten attraktive Chancen, von der Dynamik in der Elektronikindustrie und dem verstärkten Trend zur Auslage-rung der Produktion von elektronischen Komponenten und Produkten zu profitieren. Ziel der Gruppe ist es, zukünftig zusätzliche grossvolumige Projekte zu akquirieren, um ge-meinsam im Verbund und unter Nutzung des gesamten in der Gruppe vorhandenen Know-how organisch zu wachsen.

1. Principles of consolidation and valuation

These condensed consolidated interim financial statements as of 30 June 2011 are prepared in accordance with IAS 34 Interim Financial Reporting. They do not include all of the information and disclosures required for full annual financial statements and should be read in conjunction with the Group’s annual report as at 31 December 2010.

The consolidated financial statements of the Group as at and for the year ended 31 December 2010 are available at www.cicor.com or upon request from the Company’s regis-tered office.

These condensed consolidated interim financial statements were approved by the Board of Directors on 19 August 2011. When preparing the consolidated interim statements, ma-nagement is required to make estimates and assumptions. Any alterations to these estimates and assumptions are adjusted in the reporting period in which the estimates and assumptions are changed.

Income taxes are calculated based on an estimate of the income tax rate expected for the whole year. The consolidated interim financial statements were drawn up in compliance with the accounting principles described in the consolidated annual financial statements 2010.

IFRS standards and interpretations applied for 2011 Cicor has implemented various amendments to existing stan-dards and interpretations, which had no material impact on the Group’s overall results and financial position.

2. Changes in scope of consolidation

As per 4 May 2011, a new production company named Suzhou Cicor Technology Co. Ltd. was established in Suzhou, China. The company is held by Cicor Asia Pte Ltd., Singapore, and belongs to the ASIA Division. Between the foundation date and the reporting date no sales have been realised.

As per 1 January 2011, the companies Auparc AG in Jona, Switzerland, as well as Systel SA in Quartino, Switzerland, were integrated into Swisstronics Contract Manufacturing AG, Bronschhofen, through a merger by absorption.

Cicor Group defines its reportable segments based on the internal reporting to its chief operating decision maker, which is the Board of Directors. The Board bases its strategic and operative decisions on these monthly distributed reports, which include the aggregated financial data for the Group and for the four divisions. The divisions are the Printed Circuit Boards (PCB) Division, which supplies printed circuit boards to various different industries; the Electronic Solutions (ES) Division, which provides electronic ma-nufacturing services to the electronics industry; and the Microelectronics (ME) Division, which focuses on thin-film-coating tech-nologies and a wide range of microelectronic manufacturing capabilities. Whereas the three divisions mentioned mainly operate in the European and American markets, the ASIA Division provides the Group’s technological competences to the Asian market.

6. Provisions

In 2010, Cicor has recognized a provision for restructur-ing costs to streamline the operational processes in the ES Division, which involved a move of Systel SA’s production in Quartino (Switzerland) to the other locations of the Divi-sion. As per 30 June 2011, the residual provision amounts to TCHF 64 (30 June 2010: TCHF 623).

7. Share-based payments

Cicor Technologies Ltd. has issued options under three stock option plans during the financial years 2008 and 2009. In 2010 and 2011, no additional stock option plans have been issued.

Such conversion rights would have to be exercised within five years of the issuance of such convert-ible debt securities. As of 30 June 2011, according to the stock option plans approved by the Board of Directors on 3 January 2008, 3 Janu-ary 2009 and 26 November 2009, 87,838 options (31. 12. 2010: 126,083 options) were outstanding.

9. Acquisition of non-controlling interest in subsidiary

On 15 May 2008 Cicor Technologies Ltd. acquired 60 % of ESG Holding Pte Ltd., Singapore. The purchase agreement contained a call/put option for the acquisition of the residual 40 % of the group. Management has decided to account for the agreement as an anticipated acquisition of the underlying minority interest based on the requirement of IAS 32.

Cicor Technologies Ltd. exercised its call option as per 12 March 2010 and now owns 100 % of the ESG Group. The acquisition was settled by using 50,885 treasury shares. This transaction had a positive effect on equity of TCHF 1,705.

10. Seasonality of the business

Although Cicor’s business has been fluctuating in the past, these fluctuations were not due to seasonal effects.

11. Dividend paid

There was no dividend paid out of available earnings.

12. Subsequent events

There were no events between 30 June 2011 and 19 Au-gust 2011 that would require an adjustment to the carrying amounts of assets and liabilities or need to be disclosed under this heading.
